Standard provisions in the Articles of Association
It is a requirement for both the school sponsoring body and the school allocated premises and/or sites for international school development to be incorporated under the Companies Ordinance (Chapter 32 of the Laws of Hong Kong or Chapter 622 with effect from 3 March 2014, as appropriate), and to include in their Articles of Association standard provisions prescribed by the Education Bureau. The standard provisions require that income and property of the association must be applied solely towards the promotion of objects of the association (one of which shall be to establish and maintain a non-profit-making school or schools), and that no portion of the income and property shall be paid or transferred directly or indirectly, by way of dividend, bonus or otherwise howsoever to members of the association.
